Description

The Legal and Compliance Officer is responsible for ensuring the organization complies with all government legal and regulatory requirements, as well as internal policies and procedures. This role provides legal advice, reviews contracts, agreements and policies, monitors compliance risks, audits and works closely with management to ensure ethical practices and risk mitigation across operations.


Key Responsibilities:

Legal Advisory & Contract Management

  • Provide legal advice and support on business matters and regulatory issues.
  • Draft, review, and manage a wide range of contracts, including supplier agreements, service contracts, and partnership MOUs.
  • Ensure all contracts and transactions are compliant with applicable laws and reflect the organizations best interests.

Regulatory Compliance

  • Monitor, interpret, and apply laws, regulations, and circulars relevant to the organizations operations.
  • Ensure compliance with government requirements, including permits, licenses, and data privacy laws.
  • Liaise with regulators and government agencies when needed.

Internal Compliance Monitoring

  • Develop, implement, and maintain internal policies and procedures to ensure legal and regulatory compliance.
  • Conduct compliance audits and risk assessments.
  • Investigate compliance issues and report findings with recommendations to leadership.

Leadership

  • Promote a culture of compliance, integrity, and accountability throughout the organization.

Risk Management

  • Identify and assess legal and compliance risks and propose mitigation strategies.
  • Support crisis management and incident response related to legal or regulatory breaches.
Qualifications:
  • Bachelors degree in Law, Legal Management, or related field (Required)
  • Must be a licensed attorney
  • At least 25 years of experience in legal practice, compliance, or risk management
  • Strong knowledge of relevant local laws, corporate governance, and regulatory frameworks
  • Experience with contract law, data privacy, labor law, and administrative compliance
  • Excellent analytical, negotiation, and communication skills
  • High attention to detail and ethical judgment
Preferred Skills/Attributes:
  • Experience in education industry
  • Familiarity with regulatory bodies such as SEC, DOLE, CHED, DepEd etc.
  • Ability to work independently and manage multiple priorities
  • Discretion in handling confidential and sensitive information
